Terms of Service

Please read these Terms of Service carefully before using the AIFluencyLabs platform. By creating an account or accessing our service, you agree to be bound by these terms.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AIFluencyLabs Inc. ("AIFluencyLabs," "we," "us," or "our"), governing your access to and use of the AIFluencyLabs platform, website, and related services (collectively, the "Service").

By accessing or using our Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Description of Service

AIFluencyLabs is an enterprise AI workforce training platform that builds organization-wide AI fluency — role by role, team by team. The Service includes:

  • Expert-led role-specific workshops and webinars via RoleReady.AI
  • Peer-driven practitioner insights and real-world AI lessons via Ripple.AI
  • Personalized, AI-powered continuous learning via AI Fluency Labs individual learning
  • Organizational AI Fluency Score dashboards and team progress reporting
  • Contact, demo booking, and waitlist registration for enterprise teams

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice where practicable. We are not liable to you or any third party for any modification, suspension, or discontinuation.

3. Eligibility

To use the Service, you must:

  • Be at least 18 years of age, or at least 13 years of age with verifiable parental or guardian consent
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable laws
  • Not have previously had an account terminated for violations of these Terms

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and these Terms apply to both you and the organization.

4. Accounts & Security

When you create an account with AIFluencyLabs, you must provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring that you log out at the end of each session if using a shared device

You may not create more than one account per person, share your account with others, or transfer your account to another person without our prior written consent. We reserve the right to suspend or terminate accounts that violate these requirements.

5. Intellectual Property

All content, features, and functionality on the Service — including but not limited to text, graphics, curricula, learning modules, videos, audio, software, trademarks, and logos — are the exclusive property of AIFluencyLabs or its licensors, and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your authorized organizational learning purposes. You may not:

  • Reproduce, copy, distribute, or publicly display any portion of the Service without our consent
  • Modify, adapt, reverse engineer, or create derivative works based on the Service
  • Scrape, crawl, or use automated means to access or collect data from the Service
  • Remove or alter any proprietary notices, labels, or marks on content
  • Use our trademarks, logos, or brand assets without express written permission

6. User Content

The Service may allow you to submit, post, or share content such as comments, responses, notes, or feedback ("User Content"). You retain ownership of User Content you create. By submitting User Content, you grant AIFluencyLabs a worldwide, royalty-free, sublicensable license to use, store, display, reproduce, and distribute that content solely for the purposes of operating and improving the Service.

You represent and warrant that your User Content: (a) does not infringe any third-party rights; (b) is not defamatory, obscene, or unlawful; (c) is accurate and not misleading; and (d) complies with these Terms. We reserve the right to remove any User Content at our discretion.

7. Prohibited Conduct

You agree not to use the Service to:

  • Violate any applicable local, national, or international law or regulation
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Transmit unsolicited communications, spam, or phishing content
  • Upload or transmit viruses, malware, or any code designed to disrupt or damage the Service
  • Attempt to gain unauthorized access to any portion of the Service or its related systems
  • Use the Service to develop a competing product or service
  • Share, resell, or sublicense your account access to third parties
  • Engage in conduct that restricts or inhibits any other user's enjoyment of the Service
  • Collect or harvest personal data about other users without their consent
  • Use the Service for any commercial purpose not expressly permitted by us

Violation of these prohibitions may result in immediate suspension or termination of your account and may be referred to appropriate law enforcement authorities.

8. Privacy

Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in the Privacy Policy.

9. Third-Party Services

The Service may contain links to, or integrations with, third-party websites, tools, or services that are not owned or controlled by AIFluencyLabs. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services.

We strongly encourage you to review the terms and privacy policies of any third-party service you access through our platform. Your use of third-party services is at your own risk.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, AIFLUENCYLABS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, error-free, or free of viruses
  • Warranties regarding the accuracy, reliability, completeness, or timeliness of content
  • Warranties that defects will be corrected

Educational content provided through the Service is for informational and training purposes only. Results may vary based on individual effort, organizational context, and team engagement.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AIFLUENCYLABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

IN ANY EVENT, OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO AIFLUENCYLABS IN THE TWELVE MONTHS PRIOR TO THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless AIFluencyLabs and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable law or regulation

13. Termination

You may terminate your account at any time by contacting us.

We may suspend or terminate your account and access to the Service, with or without notice, for any reason including if we reasonably believe you have violated these Terms, applicable law, or if your conduct may cause harm to other users, third parties, or us.

Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete your account and User Content, though we may retain certain data as required by law; (c) provisions of these Terms that by their nature should survive will remain in effect, including Sections 7, 12, 13, 14, and 16.

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, either party may initiate binding arbitration in Vancouver, British Columbia, under the rules of the British Columbia International Commercial Arbitration Centre (BCICAC), except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Changes to Terms

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or business. When we make material changes, we will notify you by:

  • Sending an email to the address associated with your account
  • Displaying a prominent notice on the Service
  • Updating the effective date at the top of this page

Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
